

The State Congress of Rio de Janeiro (ALERJ) approved Bill No. 41/2025, which establishes a new state Tax Debt Settlement Program (REFIS). The measure covers both tax and non-tax credits, whether or not registered as active debt, related to taxable events occurring up to February 28, 2025, allowing payment in up to 90 monthly installments. The bill is now awaiting the Governor’s approval or veto.
Adhesion will occur upon payment of a single installment or the first payment, with a minimum installment value of 450 UFIR-RJ (approximately BRL 2,138.00). The deadline for adhesion shall be of 60 days after regulation, subject to a one-time extension. Under the program, taxpayers may obtain discounts of up to 95% on interest and fines if opting for full payment in cash, with benefits decreasing as the number of installments increases.
Use of tax credits and IOUs
The program also allows the offsetting of debts with the so-called precatórios (government IOUs), whether owned by the taxpayer or third parties, provided they arise from final and unappealable court decisions. For the ICMS (goods and services tax), offsetting may reach up to 75% of the debt; for IPVA (tax on vehicles), up to 50%. In other cases, the use of IOUs may reduce penalties and late-payment charges in up to 70%.
Special conditions for companies under judicial reorganization or bankruptcy
Companies under judicial reorganization or bankruptcy proceedings may adhere to a special regime, with installment plans of up to 180 months and discounts ranging from 65% to 95%, depending on
the number of installments chosen. An immediate down payment of 2% of the consolidated debt is required, repeated over the following four installments.
Restrictions and legal effects
Debts already confirmed by final court decisions favorable to the State or fully secured debts cannot be included in the program. The installment agreement will be terminated in case of two missed payments or judgment of bankruptcy.
Adhesion implies irrevocable acknowledgment of the debts and full acceptance of the program’s conditions.
